These Terms of Service (“Terms”) govern the use of www.circuitengineer.com (the “Site”) and the services provided by Circuit Engineering Company Limited (“we”, “us”, “our”). By using the Site or engaging our services, you agree to these Terms.

1. Our services

We provide engineering services relating to printed circuit boards (PCBs), which may include PCB reverse engineering, schematic and design recovery, PCB cloning, PCB copying, PCB repair and restoration, and PCB manufacturing. The specific scope of any engagement, including deliverables, lead time and price, is set out in the quotation or order confirmation for that engagement.

2. Quotations and orders

• Quotations are based on the information and samples provided to us and remain valid for 30 days unless stated otherwise.
• An engagement is confirmed when you accept our quotation and, where required, pay any agreed deposit.
• Lead times are estimates and may change if the scope, quantity or technical requirements change.

3. Your representations and warranties

When you send us any board, sample, documentation or design for any purpose, you represent and warrant that:

• you own the item, or you have obtained all necessary rights, licences or authorisations to have the work carried out;
• the work you ask us to perform will not infringe the intellectual property or other rights of any third party;
• the work is not intended for any unlawful purpose, including the infringement of third-party intellectual property.

We may decline, suspend or terminate any engagement if we reasonably believe these requirements are not met. You agree to indemnify and hold us harmless against any claim arising from a breach of this clause.

4. Confidentiality

We treat the technical information and materials you provide as confidential and use them only to carry out your engagement. Where additional protection is required, we are happy to sign a mutual non-disclosure agreement (a standard NDA is available on request).

5. Intellectual property

All intellectual property rights in our own tools, methods, templates and know-how remain ours. Upon full payment, the deliverables we prepare specifically for you (for example, the recovered schematic and Gerber files) are provided for your use as agreed in the engagement. We retain the right to use general skills and know-how developed in the course of our work.

6. Payment

Payment terms are as stated in the quotation. Unless agreed otherwise, amounts are payable in the currency and by the method set out in the quotation. Late payment may delay delivery.

7. Warranty and limitations

We perform our services with reasonable skill and care. If a deliverable does not conform to the agreed specification, we will, at our option, correct it or re-perform the relevant work. To the fullest extent permitted by law, we are not liable for indirect, incidental or consequential losses, and our total liability is limited to the fees paid for the relevant engagement. Nothing in these Terms excludes liability that cannot be excluded by law.

8. Website content

The content on the Site is provided for general information only and does not constitute professional advice. While we aim to keep information accurate and up to date, we make no warranty as to its completeness or accuracy.

9. Third-party links and partners

The Site may link to third-party websites or reference partners. We are not responsible for the content, policies or practices of third-party sites.

10. Governing law

These Terms are governed by the laws of the Hong Kong Special Administrative Region, and any dispute arising from them is subject to the exclusive jurisdiction of the Hong Kong courts.

11. Changes

We may update these Terms from time to time. The version posted on this page applies to your use of the Site.
